Register Your LLC Online: Fast & Easy

Registering an LLC online is becoming increasingly popular due to its speed and convenience. In Florida, the Florida Department of Agriculture and Consumer Services (FDACS) requires anyone soliciting contributions from Florida residents to register and renew annually. You can register your LLC online through www.FDACS.gov.

Additionally, as of January 1, 2024, there’s a Federal requirement for Beneficial Ownership Information Reporting. The Division of Corporations is responsible for providing notice of this requirement.

Filing an annual report is crucial for maintaining your business’s good standing. This report updates or confirms the Florida Department of State’s records, not financial information. Annual report filings are mandatory each year to maintain your business’s “active status” with the Department of State.

You can find your document number on the Division of Corporations website if you’ve forgotten it. There are various payment options to file the annual report, including online payment by credit card, debit card, or prepaid Sunbiz E-File account. You can also pay by check or money order via mail.

If payment is made after May 1st, there’s a $400 late fee for all for-profit corporations, limited liability companies, limited liability partnerships, and limited partnerships. Nonprofit corporations are not subject to this late fee. Failure to file your annual report will result in the dissolution or administrative revocation of your business.

If your business has been dissolved, you do not need to file an annual report. Annual reports filed online by credit card are processed and posted immediately. If paying by check or money order, your document will be processed in the order it’s received.

When filing your annual report, you can change the name and/or address of officers, directors, managers, authorized members; change the address for any general partners; change the registered agent and registered office address; change the principal office address and mailing address for the business; and add or change the federal employer identification number. Note that you cannot change your business name on the annual report.

If you have already filed this year’s annual report and need to make changes, you can file an amended annual report for a corporation or LLC. For limited partnerships or limited liability partnerships, you will need to download and complete an amendment form. Typing your name in the signature block is statutorily sufficient. Electronic signatures have the same legal effect as original signatures.
